1. General provisions
Nexperity is an online marketplace that helps clients find a specialist and specialists find orders. The service runs on nexperity.com and is operated by Anatolii Ilnytskyi, a sole proprietor (FOP) registered in Ukraine, hereinafter “we” or “Nexperity”.
These Terms are a public offer. By creating an account you accept them in full: by ticking the box on the sign-up page or, if you sign in with Google, by continuing after the notice that says so. We keep a record of which edition of the Terms you accepted and when. If you do not agree with the Terms, do not create an account or use the service.
The Privacy Policy, which explains how we process personal data, applies together with these Terms.
2. Who may use Nexperity
The service may be used by an adult with full legal capacity, and by a sole proprietor or a representative of a legal entity acting within their authority.
By signing up you confirm that your details are accurate and undertake to keep them up to date. Signing up in someone else's name, or on behalf of a person who has not authorised you, is prohibited.
3. Your account
One account can act in two roles: as a client, to publish orders and contact specialists, and as a specialist, to keep a profile and receive requests. The second role can be added at any time.
An account is created with an email address you confirm, or by signing in with Google. Passwords are not stored in plain text.
Every account confirms a mobile phone number with a code sent by SMS; codes are sent to numbers in Ukraine and a number of other countries. One number, one account: a number linked to another account cannot be used, and the number of a deleted account becomes available for a new one after 12 months. The account's number is not shown to other users.
You are responsible for keeping access to your account and for what is done from it. If you notice someone else's access, change your password and write to us.
4. Orders, profiles, and other user content
The texts of orders, profiles, services and reviews, and the photos and files you publish, remain yours. By publishing them you grant us a free, non-exclusive right to show, store and technically process them to run the service, including in search, on category pages and in the order feed.
Nexperity's public pages are indexed by search engines. Do not write in public fields anything you would not want to see in search results: contacts have separate fields with their own visibility settings.
You are responsible for the lawfulness of your content and for your rights to it. It is prohibited to publish others' material without permission, false information about qualifications, services that need a licence or permit you do not have, and images of people without their consent or with unlawful or offensive content.
We may hide or remove content that breaches these Terms or the law, and tell you why.
5. Interaction between a client and a specialist
Nexperity is an information marketplace. We are not a party to agreements between a client and a specialist, do not act as an intermediary, and take no share of their payments.
The scope, timing, price and quality of the work are agreed between the parties. Payments happen outside the platform: Nexperity neither receives nor transfers payment for work.
Each of a specialist's contacts — email, phone, Telegram — has its own visibility setting: “Public” (seen by every visitor to the profile, search engines included), “After connection” (opened to a client once the specialist accepts their request, or the client accepts the specialist's reply to their order) and “Hidden” (not opened in any new connection). A client's contacts are never public: the client chooses which of them to open to the other side after a connection.
Settings are fixed at the moment of connection, and a client's settings for an order at the moment it is published. A later change applies to new connections and does not close contacts already opened.
After a connection the parties can message each other in the platform chat, unless the accepting side has turned it off. Sent messages cannot be edited or deleted; after the work is complete, the conversation stays available to read.
You can report a conversation, a message, or a specialist you have worked with. Reports are reviewed by our team; the person reported is not told about the report.
We do not vet every user, do not guarantee that an agreement will be made or fulfilled, and are not liable for the quality of work, payments, deadlines or the parties' conduct. Claims about the work are settled between the parties.
6. Payment and paid features
Using Nexperity is currently free of charge.
Paid features may appear later, such as wider profile visibility or a higher position in search. We will announce them, their prices and terms in advance and describe them in a separate document before the first payment.
Such payments are for the platform's services, not a specialist's fee, and they do not guarantee a number of requests.
Paid positions in search, once they exist, will carry a “Promo” label. They will affect only a card's place in the results, not the reviews of a specialist.
7. Reviews
A review of a specialist is left by a client after completed work that started on Nexperity. Specialists do not review clients.
A review is “I recommend” or “I don't recommend” and, optionally, a text. One client leaves one review of a specialist and can change or delete it at any time.
A review must reflect your real experience. Commissioned, invented or paid reviews are prohibited, as are insults, threats and disclosure of others' personal data.
A specialist can report a review of themselves. We take down a review that breaks these rules: it leaves the profile and is no longer counted.
8. Prohibited conduct
When using Nexperity, you may not: publish unlawful, fraudulent or misleading content; impersonate another person; collect users' contacts for mailings or to pass them on; get around the rules for opening contacts; send spam, threats or insults; create accounts automatically or to get around a block; interfere with the service, scan it for vulnerabilities without our written consent or harvest data from its pages in bulk; offer goods or services whose circulation is restricted or prohibited by law.
9. Suspension and deletion of an account
We may restrict or suspend access to an account whose actions breach these Terms or the law, harm other users, or threaten the service. Where possible we warn in advance and explain why; for serious breaches we restrict access at once.
You can stop using the service at any time. To delete your account, write to us; the procedure is described in the Privacy Policy.
10. Liability of the service
The service is provided “as is”. We make reasonable efforts to keep it running without failures, but do not guarantee uninterrupted availability, the absence of errors, or that content survives a technical failure.
We are not liable for users' actions, the content of their orders and profiles, the agreements and payments between them, or damage arising from such relations.
These limitations apply to the extent permitted by Ukrainian law and do not limit consumer rights established by law.
11. Changes to these Terms
We may change these Terms, for instance when the service gains new features or the law changes. The edition in force is always available on this page with its effective date.
We will announce material changes in advance, in the service or by email. If you keep using the service after they take effect, you accept the new edition; if not, you can stop using it and delete your account.
12. Governing law and dispute resolution
These Terms are governed by the law of Ukraine.
We try to resolve disputes by negotiation: write to us and we will reply within 14 calendar days. If no agreement is reached, the dispute is settled by a court under the jurisdiction rules of Ukrainian law.
